The company is established with a majority stake held by Renfe (50.1%) and the remainder by the Generalitat (49.9%), although the statutes allow the Government to increase its capital presence in the future. This formalization, which arrives a few days late compared to the scheduled date of January 1, concludes the political agreement reached with ERC.

The nine-member board of directors will be chaired by the Minister of Territory, Sílvia Paneque, and will include a general management. The society starts with an initial budget of two million euros, focusing on technical challenges such as obtaining the railway license and implementing the safety management system.
Among the first key actions is the launch of the Rodalies command center at Estació de França in Barcelona before the summer, in collaboration with Adif and Renfe. This center will prioritize the complete duplication of the R3 line and the improvement of operational coordination. The transfer of the R1 section between La Sagrera and Maçanet-Massanes is also included.
